PURPOSE: The Colour Collective Sydney is a not-for-profit organisation. All Officers and Directors serve on a voluntary basis. Our purpose is: a) to initiate and support information-sharing and networking opportunities for people involved in producing, using, designing, or specifying colour, digital colour and coloured materials across all sectors; b) to provide opportunities for colour theory and application education; and c) to provide opportunities for industry recognition for people involved in producing, using, designing, or specifying colour, digital colour and coloured materials across all sectors.
SCOPE: The Colour Collective Sydney aims to be diverse and inclusive, providing services to those whose creative and professional endeavours involve colour across all industry sectors including art, applied design (including graphic design, interior design, digital design, fashion design, textile and surface design), urban design, architecture and the built environment.
MEMBERSHIP: Is free to all individuals who are engaged in or have an interest in activities of the Colour Collective Sydney. Membership of any person may be terminated upon a two-thirds majority vote of the Board of Directors for conduct detrimental to the Colour Collective Sydney. Corporate membership may be authorized by the Board of Directors to fulfil a specific need.
MANAGEMENT: Is vested in the Board of Directors consisting of the four Officers (President, Vice-President, Secretary, and Treasurer) and the Directors.
COMMITTEES: May be established and committee chairpersons appointed by the President. The President may designate another Director to establish a committee.
FINANCIAL: The Treasurer will maintain appropriate financial records of income and expenses. All normal expenditures must be approved by the Board of Directors. The financial records may be audited at the discretion of the Board of Directors.
REGULAR MEETINGS: Meetings of the membership will be held throughout the year as determined by the Board of Directors. Non-members may also attend. Adequate notice of each meeting shall be given to the membership by the Executive Secretary.
REMUNERATION: Office bearers and Directors are to be reimbursed for any and all out-of-pocket expenses, and will be remunerated for their time and involvement, in respect to fee-paying events organised by the Colour Collective Sydney. Contractors including presenters are to be compensated for their time and involvement in respect to fee-paying events.
AMENDMENT: The Colour Collective Sydney’s Articles of Association may be amended by a two-thirds vote of the membership present at one of the regular meetings.
Officers and Board of Directors
ELECTIONS: All members of the Board of Directors shall be elected annually by the membership at the final regular meeting of the preceding calendar year. A secret ballot shall be used if requested by any member present. Candidates for the four offices and open Director positions will be listed in the meeting announcement. Additional candidates may be offered from the floor at the time of the election. Any candidate not listed in the meeting announcement must be present at the election or have a written statement of intentions presented at that time.
All members of the Colour Collective Sydney are eligible for election to the Board. The Board of Directors shall serve as the nominating committee. Additional members may be appointed to the committee by the President. The term of office for Directors is one year. The term of office for President, Vice President, Board Secretary, and Treasurer is one year. All Officers and Directors are eligible for re-election.
The President shall appoint an interim Officer or Director in case a position becomes vacant. The appointment must be confirmed by a quorum of the Board. Such interim Officer or Director is eligible for re-election. Should the Presidency become vacant, the Vice-President shall assume that office for the balance of the term and is eligible for re-election.
DUTIES: Of Officers and Directors are as follows:
PRESIDENT: The President shall be the chief operating officer of the Colour Collective Sydney and shall preside at all meetings of the membership and the Board of Directors. The President may appoint committees or direct the appointment of a committee by another Officer or Director for any purpose approved by the Board.
VICE-PRESIDENT: The Vice-President shall assume the duties of the President in the President’s absence and shall assume the office of the President in case of a vacancy of that office. The Vice President is responsible for regular meeting venue arrangements.
BOARD SECRETARY: The Board Secretary is the recording officer of the Colour Collective Sydney and custodian of all records except those specifically assigned to others, such as the Treasurer’s books. The Board Secretary is responsible for minutes of all meetings of the Board of Directors. The Board Secretary will oversee the activities of the Executive Secretary. The Board Secretary will oversee registration procedures at all meetings.
TREASURER: The Treasurer is responsible for gathering, dispersing and managing the Colour Collective Sydney’s funds. A financial statement should be available at each regular meeting and will be presented to the membership if requested by the President. An annual report will be prepared and distributed to all members of the Board and will be made available, upon request, to all members.
DIRECTORS: The Directors serve in an advisory capacity to the Officers. Their responsibilities include the following:
Actively participate in regular meetings.
Serve on Nominating Committee.
Provide advance information on program interests of the membership and assist in soliciting speakers.
Recommend special events for social, fund raising or special interest activities.
Provide guidance on financial planning and efficient expenditure of funds.
Assist in recruiting new members.
Provide publicity for Colour Collective Sydney meetings and activities.
The Colour Collective Sydney was established informally on 18 March 2017.
